Terms of Service

Welcome to the Dreampad Interface (the "Interface"), provided by [Your Company Name] ("we," "our," or "us"). The Interface is a user interface that offers access to the Dreampad Protocol, a decentralized platform operating on various public blockchains, including, but not limited to Ethereum. The Protocol enables users to engage in the trade of compatible digital assets. It's important to note that the Interface is one of the methods to access the Protocol. To utilize the Interface, you must use non-custodial wallet software that facilitates interactions with public blockchains. Your relationship with the non-custodial wallet provider is governed by their terms of service and is not covered by this Terms of Service Agreement (the "Agreement").

This Agreement outlines the terms and conditions that apply to your access and use of the Interface. It is essential to carefully read this Agreement. By accessing or using the Interface, you confirm that you have reviewed, comprehended, and agreed to abide by the entire Agreement. If you do not agree, you are not authorized to access or use the Interface and should refrain from using it.

Modification of this Agreement

We retain the right, at our sole discretion, to make modifications to this Agreement as needed. In case we introduce any changes, we will notify you by updating the date at the top of the Agreement and maintaining a current version at Dreampad's terms of service page. All modifications will take effect upon posting, and your continued use of the Interface will indicate your acceptance of these modifications. If you disagree with any alterations to this Agreement, you must cease accessing and using the Interface immediately.

Eligibility

To access and use the Interface, you must have the legal capacity to form a binding contract with us. Consequently, you represent that you have reached the age of majority in your jurisdiction (e.g., 18 years old in the United States) and possess the full authority, power, and right to enter into and comply with the terms and conditions stipulated in this Agreement, both on your own behalf and on behalf of any company or legal entity for which you access or use the Interface.

Furthermore, you assert that you are not (a) subject to economic or trade sanctions enforced or administered by any governmental authority, or designated on any list of prohibited or restricted parties (including, but not limited to, the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury); or (b) a citizen, resident, or incorporated in a jurisdiction or territory that is subject to comprehensive country-wide, territory-wide, or regional economic sanctions imposed by the United States. You also confirm that your access and use of the Interface will fully adhere to all applicable laws and regulations, and that you will not use the Interface for any unlawful activities.

Proprietary Rights

We own all intellectual property rights and other rights related to the Interface and its content, including (but not limited to) software, text, images, trademarks, service marks, copyrights, patents, and designs. These intellectual property rights are available under the terms of our copyright licenses and our Trademark Guidelines.

Additional Rights

We reserve certain rights, which do not constitute obligations on our part, including: (a) the right to modify, replace, remove, or add features to the Interface, with or without prior notice to you; (b) the authority to review, modify, filter, disable, delete, and remove any content and information from the Interface; and (c) the prerogative to cooperate with law enforcement, courts, government investigations, or third parties requesting or directing the disclosure of information or content you provide.

Privacy

When using the Interface, the only information we collect from you is your blockchain wallet address, completed transaction hashes, and token names and symbols. We do not collect personal information (e.g., your name or other identifying data that can be traced back to you). However, it is important to note that we engage third-party service providers who may collect your personal information from publicly available sources independently. We do not have control over how these third parties handle your data, and we recommend reviewing their privacy policies to understand how they collect, use, and share your personal information. By accessing and using the Interface, you acknowledge and consent to our data practices and the treatment of your information by our service providers.

The information we collect is used to detect, prevent, and mitigate financial crimes and other illicit or harmful activities on the Interface. For these purposes, we may share the information we collect with blockchain analytics providers. We only share information with these service providers to help ensure the safety, security, and integrity of the Interface. Please be aware that your interactions with Ethereum or other public blockchains, which may inherently offer transparency into your transactions, are not controlled by Dreampad. Dreampad is not responsible for any information you make public on blockchains by conducting actions through the Interface.

Prohibited Activity

You agree not to engage in or attempt to engage in any of the following categories of prohibited activity concerning your access and use of the Interface:

  1. Intellectual Property Infringement: Activities that infringe upon or violate any copyright, trademark, service mark, patent, right of publicity, right of privacy, or other proprietary or intellectual property rights under the law.

  2. Cyberattack: Activities that seek to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including the deployment of viruses and denial-of-service attacks.

  3. Fraud and Misrepresentation: Activities that seek to defraud us or any other person or entity, including providing false, inaccurate, or misleading information to unlawfully obtain another's property.

  4. Market Manipulation: Activities that violate any applicable law, rule, or regulation concerning the integrity of trading markets, including manipulative tactics such as "rug pulls," pumping and dumping, and wash trading.

  5. Securities and Derivatives Violations: Activities that violate any applicable law, rule, or regulation regarding the trading of securities or derivatives, including the unregistered offering of securities and offering leveraged and margined commodity products to retail customers in the United States.

  6. Any Other Unlawful Conduct: Activities that violate any applicable law, rule, or regulation in the United States or any other relevant jurisdiction, including the restrictions and regulatory requirements imposed by U.S. law.

Not Registered with the SEC or Any Other Agency

We are not registered with the U.S. Securities and Exchange Commission in any capacity, including as a national securities exchange.

Non-Solicitation; No Investment Advice

You understand and agree that: (a) all trades initiated through the Interface are considered unsolicited, meaning that they are solely initiated by you; (b) you have not received any investment advice from us concerning these trades.

Non-Custodial and No Fiduciary Duties

The Interface is entirely non-custodial, which means that you are solely responsible for safeguarding the cryptographic private keys to the digital asset wallets you possess. This Agreement is not intended to create or impose any fiduciary duties on us. To the fullest extent permissible by law, you acknowledge and agree that we owe no fiduciary duties or liabilities to you or any other party. In case such duties or liabilities exist at law or in equity, they are irrevocably disclaimed, waived, and eliminated by this Agreement. You also agree that the only duties and obligations we owe you are those expressly set out in this Agreement.

Compliance and Tax Obligations

The Interface may not be accessible or suitable for use in your jurisdiction. By accessing and using the Interface, you agree that you are solely responsible for complying with all applicable laws and regulations that may apply to you. Specifically, your use of the Interface or the Protocol may result in various tax consequences, such as income or capital gains tax, value-added tax, goods and services tax, or sales tax in certain jurisdictions. It is your responsibility to determine whether taxes apply to any transactions you initiate or receive and, if so, to report and/or remit the correct tax to the appropriate tax authority.

Assumption of Risk

By accessing and using the Interface, you represent that you possess the financial and technical knowledge to understand the inherent risks associated with cryptographic and blockchain-based systems. You are also expected to have a working knowledge of digital assets like ether (ETH), stablecoins, and other digital tokens following the Ethereum Token Standard (ERC-20).

In particular, you comprehend that markets for digital assets are emerging and highly volatile due to factors such as adoption, speculation, technology, security, and regulation. You acknowledge that anyone can create tokens, including fake versions of existing tokens and tokens that falsely claim to represent projects, and you accept the risk that you may mistakenly trade those or other tokens. So-called stablecoins may not be as stable as they purport to be, may not be fully or adequately collateralized, and may be subject to panics and runs.

Furthermore, you understand that smart contract transactions are automatically executed and settled, and blockchain-based transactions are irreversible once confirmed. You acknowledge and accept the costs and potential delays associated with transacting on cryptographic and blockchain-based systems, such as Ethereum, which can vary significantly at any given time. You also understand and agree to the risk associated with trading in Expert Modes, which may expose you to significant price slippage and higher costs.

In summary, you acknowledge that we are not responsible for these variables or risks, do not own or control the Protocol, and cannot be held liable for any losses you may incur while accessing or using the Interface. As a result, you assume full responsibility for all the risks associated with accessing and using the Interface to interact with the Protocol.
